End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you and P/E Valerii Alekseev ("Licensor", "we", "us", or "our") governing your use of the mobile application Calma (the "App") available on the App Store.

By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.

IMPORTANT: This Agreement incorporates by reference the Licensed Application End User License Agreement published by Apple, Inc. (located at http://www.apple.com/legal/itunes/appstore/dev/stdeula/). The terms of this Agreement may not conflict with, and are not less restrictive than, the terms of the Licensed Application End User License Agreement.

1. Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

2. Maintenance and Support

Licensor is solely responsible for providing any maintenance and support services for the App, as specified in this Agreement, or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

3. Warranty

Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Licensor's sole responsibility.

4. Product Claims

Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

5. Intellectual Property Rights

You acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Licensor, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

6. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

7. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

8. Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove any proprietary notices or labels
  • Use the App for any illegal purpose
  • Share your account with others
  • Use the App in any manner that violates the App Store Terms of Service

9. User Content

The App does not allow users to create, upload, or share content.

10. Payment and Subscriptions

Free Tier:

  • The App offers a free tier with basic features including manual task creation, task management, limited habit tracking (up to 3 habits), on-device transcription, and all color themes
  • New users receive a grace period to try AI-powered features (voice task extraction and journal processing) without subscription. The duration of this grace period may vary

Premium Features:

  • AI-powered voice features (task extraction, journal processing)
  • Calendar integration
  • iOS Widgets
  • Unlimited habit tracking
  • Premium features require an active subscription to access

Payment Terms:

  • All payments are processed through Apple's In-App Purchase system
  • Prices are displayed in your local currency
  • Payment will be charged to your Apple ID account at confirmation of purchase
  • You acknowledge that Apple is not responsible for the App's content or for any claims related to the App

Subscription Terms:

  • Free trial periods may be available as configured in the App Store product offerings
  • If a free trial is offered, your subscription will automatically convert to a paid subscription unless canceled at least 24 hours before the end of the trial period
  • Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period
  • You can manage your subscription and turn off auto-renewal by going to your Apple ID Account Settings after purchase
  • You may cancel your subscription at any time; access to premium features will continue until the end of the current billing period

11. Refund Policy

All purchases are processed through Apple's In-App Purchase system. Refunds are handled by Apple, not Licensor. You may request a refund through Apple's standard refund process, subject to Apple's terms and conditions. Licensor has no obligation to provide refunds directly.

12. Privacy

Your use of the App is also governed by our Privacy Policy, available at https://getcalma.app/privacy. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

13. Termination

This Agreement is effective until terminated. You may terminate this Agreement by deleting the App from your device. Licensor may terminate this Agreement at any time if you breach any term of this Agreement or the App Store Terms of Service. Upon termination, your license to use the App will immediately cease, and you must delete the App from your device.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP.

16. Changes to This Agreement

Licensor may modify this Agreement at any time. We will notify you of any material changes by posting the new Agreement in the App and on our website, and, where feasible, by sending you an email notification. Continued use of the App after changes constitutes acceptance of the modified Agreement. If you do not agree to the modified Agreement, you must stop using the App and delete it from your device.

17. Governing Law and Dispute Resolution

17.1. Governing Law: This Agreement is governed by the laws of the State of California, USA, for users in the United States, and the laws of Ireland for users in the EU, EEA, and UK, without regard to conflict of laws principles.

17.2. Dispute Resolution: Any dispute arising from this Agreement shall be resolved through final and binding arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) for US users or the London Court of International Arbitration (LCIA) for EU users.
